A Direct Path to a Sale
We’re a private buyer. We work directly with shareholders and founders. That means no broker listings, no drawn-out marketing processes, and no time wasted on speculative conversations. If we are interested, we will say so early. If we are not the right fit, we will say that too, respectfully and clearly.
We understand that every business is different. We take time to understand how yours works, what matters most to you, and what kind of deal would be workable. In some cases, that means a full exit. In others, it may involve a phased transition, minority or majority equity participation, or where we take increasing responsibility over time while the owner steps back gradually.
We fund transactions through a combination of corporate finance, balance sheet restructuring, and trusted co-investors that meet the needs of the business. We’ re also comfortable working with a range of more sophisticated funding options to suit the individual circumstances. The most important thing is that the terms reflect what’s fair and sustainable for the business, the buyer and the seller.
What We Look For in a Business
Whilst we are open-minded, we are primarily looking for companies that have been built with care and consistency. The business might not be perfect. It might have some deferred investment, some inefficiencies, or a need for fresh energy. That is fine. What matters is that the fundamentals are sound and the owner is committed to seeing the company continue to trade and prosper.
We’re looking for companies that have been trading for at least seven years, have a reliable team in place, and generate consistent profits. Your business needs to serve a real need, have a clear defensible position in its sector, have a strong customer base, loyal team, and an effective operational team in place.
Our primary focus is on industrial and related sectors, businesses that make, maintain, service, or technically support physical products, equipment, or infrastructure. This includes firms involved in manufacturing, engineering services, technical maintenance, specialist contracting, and other operational businesses that deliver real-world value through capability and consistency. However, we are open to approaches from businesses in other sectors that can demonstrate strong fundamentals and meet our acquisition criteria.

Why Exit Timing Matters
Changes to Business Asset Disposal Relief (BADR)
The UK government has confirmed that BADR will increase from 10% to 14% in April 2025, meaning business owners who sell after this date will pay 40% more in tax on their sale proceeds.
Many financial experts believe CGT rates on business sales could continue rising as they are harmonised with other rates, further reducing the net proceeds owners receive. The government is considering aligning business CGT with broader CGT rates, making this an important factor in planning your exit.

We don’t believe in making immediate changes for the sake of it. We meet the team, get close to the day-to-day, and support what is already working. We believe in working with whatever is already in place and working in the business, and strengthening management and systems and performance on a clear change plan.
We invest where it is needed. We fix what needs fixing. But we do so steadily, and with a long-term view.
As a private investment company, we are free of pressure to hit short-term returns. Our strategy is based around a long-term vision of strong and consistent performance that remains long after competitors have come and gone.
